Selling Services definition

Selling Services include, but are not limited to: the printing and distribution to prospective investors in the Covered Fund of prospectuses and statements of additional information that are used in connection with sales of Class A Shares, Class B Shares and Class C Shares of the Covered Fund; the preparation, including printing, and distribution of sales literature and media advertisements relating to the Class A Shares, Class B Shares and Class C Shares of the Covered Fund; and distributing shares of the Class A Shares, Class B Shares or Class C Shares of the Covered Fund. In providing compensation for Selling Services in accordance with the Plan, GEID is expressly authorized (i) to make, or cause to be made, payments reflecting an allocation of overhead and other office expenses related to the distribution of the Class A Shares, Class B Shares or Class C Shares of the Covered Fund; (ii) to make, or cause to be made, payments, or to provide for the reimbursement of expenses of, persons who provide support services in connection with the distribution of the Class A Shares, Class B Shares or Class C Shares of the Covered Fund; and (iii) to make, or cause to be made, payments to broker-dealers who have sold Class A Shares, Class B Shares or Class C Shares of the Covered Fund. Fees payable by Class A Shares may be used to pay for either shareholder services or distribution related services.

Examples of Selling Services in a sentence

  • In this regard, Product Distributor agrees that neither GEID, nor the Company, nor its Funds, nor the agents or affiliates of the foregoing, have any responsibility for the manner of Product Distributor’s or a Selling Broker-Dealer’s performance of Selling Services or Investor Services under this Agreement, or any acts or omissions related thereto.

Related to Selling Services

  • Counseling services means services provided by qualified social workers, psychologists, guidance counselors or other qualified personnel.

  • Training Services means access to Red Hat training courses, including online courses or courses provided at a site as may be agreed by the parties.

  • Brokering Services means the recruitment of individuals to participate in training that is to be subsidised under this VET Funding Contract, by an individual or organisation in exchange for payment from the Training Provider or the student, but excludes activities carried out by salaried individuals who are employees of the Training Provider whose role includes the identification and recruitment of potential students.

Such services shall include but shall not be limited to: set-up and maintenance of a Program and Cards, transaction authorization, processing, clearing and Settlement, System access, Card Services, Credit Services, Cardholder dispute resolution, collections, System compliance, regulatory compliance, security and fraud control, and activity reporting.
