Seller’s Work definition

Seller’s Work means all labor, materials, equipment and services, or any portion thereof, that are indicated on or are reasonably inferable from the Record Drawings, or that are required in accordance with any Applicable Law now in effect including, but not limited to, all types and quantities of components, items, systems, materials and methods of construction.
Seller’s Work means the design, manufacture, delivery, technical assistance, and Commissioning of the Wind Turbines pursuant to this Agreement.
Seller’s Work as defined in Paragraph 1.1 of the Work Letter Agreement, shall be in good operating condition on the Closing Date and shall be completed substantially in accordance with the requirements of this Agreement. Seller's warranty shall not extend to, or provide a remedy for, abuse, defects caused by Buyer's alteration or modification of Seller's Work, improper or insufficient maintenance, improper operation, and normal wear and tear under normal usage. Seller's warranty obligations shall commence at the time of substantial completion of Seller's Work. If within one year after substantial completion of Seller's Work any portion of Seller's Work is found not to be in accordance with the requirements of this Agreement, Seller shall, after receipt of written notice from Buyer, promptly correct, or cause the general contractor to correct, such work. Seller hereby agrees to execute any documentation reasonably requested by Buyer in order to evidence the fact that effective one (1) year after the Closing Date, Seller shall assign on a non-exclusive basis all of its right, title and interest in and to any warranties regarding workmanship and material with respect to the Seller's Work to be performed pursuant to the terms of this Agreement, including, but not limited to, the warranties regarding the operation of systems such as air-conditioning or heating. Seller shall cooperate with Buyer, at no cost to Seller, with respect to the enforcement of any such warranties upon the written request by Buyer and Buyer shall cooperate with Seller in enforcing any such warranties in connection with the performance of Seller's obligations under this Section 7.02. In no event shall Seller be liable to Buyer for any latent or patent construction defects that are not asserted by Buyer within one (1) year after the Closing Date.

  • The Seller shall provide the Buyer with all spare parts and consumables required for Startup and Commissioning of the Seller’s Work at the Seller’s own cost and expense.

  • To the extent that Seller’s Work Product or Developments are copyrightable or patentable, Seller shall and hereby does assign all such copyrights and patent rights to Viasat.

  • In the event of such termination, Buyer shall pay, as full compensation for Seller’s Work, Seller’s actual costs to the day Work is stopped, including any reasonable expenses incurred by Seller in connection with its termination of any orders or subcontracts hereunder, plus a reasonable allowance for overhead and profit on the Work performed to date.

  • The aggregate of the payments and reimbursements due the Seller by L3Harris shall not exceed the price for Seller’s Work in the Purchase Order and Seller is not authorized to exceed nor is L3Harris obligated to pay Seller any amount exceeding the price of the Work stated in the Purchase Order.

  • Seller shall defend, indemnify and hold harmless Buyer for all Damages that may be imposed on or incurred by the Buyer in connection with Seller’s violations of export and import laws and regulations.(h) Should the Seller’s Work originate from a foreign location, such Work may also be subject to the export control laws/regulations of the country in which the Work originates.

  • Seller shall, upon reasonable request by Buyer, provide Buyer with written reports on the status of Seller’s Work under this Agreement.

  • If Seller fails to comply with these requirements, Buyer may, without liability, stop Seller’s Work until the requirements are complied with.

  • Materials originated by or for Seller as a part of the scope of Seller’s Work under these Terms & Conditions shall be promptly furnished to Buyer.

  • All warranty claims for Seller’s Work must be received by Seller within the warranty period, and Seller must be provided a reasonable opportunity to inspect and make corrections, or such warranty claims are barred.


More Definitions of Seller’s Work

Seller’s Work. The rough grading, infrastructure and other work and obligations described on Exhibits C-1 and C-2;
Seller’s Work or “Seller Work” means, collectively, the Cafe Work, the Chiller Work, the Garage Work and the Lobby Work.
Seller’s Work consists of the following: Seller shall complete the Hotel Suites in accordance with the Plans and the Finish Standards, and shall complete hotel floor common areas and all other areas of the Hotel in Modified Raw Shell Condition in accordance with the Plans. “Modified Raw Shell Condition” shall mean completion to the state set forth in the specifications set forth on Exhibit E attached hereto and made a part hereof. Seller’s Work does not include finishing beyond Modified Raw Shell Condition any part of the Hotel other than the Hotel Suites, and Purchaser acknowledges Purchaser will not be able to open or operate the Hotel without doing substantial additional work.
Seller’s Work is defined in Section 13.5.
Seller’s Work shall have the meaning set forth in Section 6.1(d).

Related to Seller’s Work

  • Project Completion Schedule means the progressive Project Milestones set forth in Schedule-J for completion of the Project Highway on or before the Scheduled Completion Date;

  • Completion Schedule means the fulfilment of the Related Services by the Supplier in accordance with the terms and conditions set forth in the Contract;

  • Project Completion means completion of the Redevelopment in accordance with this Agreement to the state where the whole of the Morley Shopping Centre, as so redeveloped, is capable of occupation for its intended purpose;
