The Seller shall provide the Buyer with all spare parts and consumables required for Startup and Commissioning of the Seller’s Work at the Seller’s own cost and expense.
Purchaser shall indemnify Seller for any and all claims, damages, losses, causes of action, demands, judgments and expenses arising out of or relating to (i) the presence of any Hazardous Materials which are present on the Site prior to the commencement of Seller’s Work or (ii) improperly handled or disposed of by Purchaser or (iii) brought on to the Site or produced thereon by parties other than Seller, its affiliates, Subcontractors, and agents and their employees.
In the event of such termination, Buyer shall pay, as full compensation for Seller’s Work, Seller’s actual costs to the day Work is stopped, including any reasonable expenses incurred by Seller in connection with its termination of any orders or subcontracts hereunder, plus a reasonable allowance for overhead and profit on the Work performed to date.
Seller represents and warrants that the Work and any substances contained therein are not prohibited or restricted by, and are supplied in compliance with REACH, CLP, and BPR, and that no current requirement in REACH, CLP, or BPR prevents the sale or transport of Seller’s Work or substances in Seller’s Work in the EEA, and that all such Work and substances have been pre-registered, registered, reported, approved, and/or authorized as and to the extent required by REACH, CLP, and BPR.
Buyer will ensure that Buyer’s employees, agents and subcontractors appropriately waive any and all claims to, and assign to Seller, all rights or interests in, any of Seller’s Work Product created in connection with this Contract.
Buyer shall take all necessary steps to ensure that Seller obtains full legal title in and to such rights in Seller’s Work Product.
All warranty claims for Seller’s Work must be received by Seller within the warranty period, and Seller must be provided a reasonable opportunity to inspect and make corrections, or such warranty claims are barred.
Seller shall, upon reasonable request by Buyer, provide Buyer with written reports on the status of Seller’s Work under this Agreement.
If Buyer occupies the Home prior to the completion of Seller’s Work, without the consent from Seller, then Seller may deem occupancy to be acceptance of Seller’s Work, and may terminate the obligation to perform all further Work.
Seller has not received notice of any default under the Contracts, and, to Seller’s knowledge, there is no basis to declare Seller in default of any written or oral contract or agreement relating to the Property, including, but not limited to, any contract or agreement relating to the Seller’s Work (as hereinafter defined).
