Sellers’ Data definition

Sellers’ Data means any and all data contained in the Business Systems, stored by third parties on behalf of Sellers, the Purchased Entities, their Affiliates or the Business, or otherwise Processed by or on behalf of Sellers, the Purchased Entities, their Affiliates or the Business, including any and all confidential information, proprietary information and Personal Data.

Sellers’ Data means all electronically stored information and data, whether contained in a database or otherwise, which (a) is not related to the Company or either of the Subsidiaries or (b) is physically or logically separate from information and data related to the Company or either of the Subsidiaries.

Examples of Sellers’ Data in a sentence

  • Sellers hereby sell, convey, assign, transfer and deliver to Buyer and its successors and assigns, free and clear of any liens and encumbrances, all of Sellers’ right, title, and interest in and to the Sellers’ Data and any all personal property located on the Talapoosa Property (the “Property”).

  • Prior to the Option Exercise Closing Date, Gunpoint Parent and Buyer shall prepare an inventory of all Sellers’ Data delivered to Buyer.

  • The Talapoosa Property, the Permits, the Rental Space, and any and all personal property directly related to thereto, including Sellers’ Data are collectively referred to herein as the “Talapoosa Project”.

  • Except as set forth on Section 5.6(a) of the Seller Disclosure Schedule, neither the execution, delivery, and performance of this Agreement nor the taking over by Purchaser of all of Sellers’ Data will cause, constitute, or result in a breach or violation of any Privacy and Data Security Commitment in any material respect.

  • Promptly following the Closing and, in any event prior to the period required by the Carrier in the binder agreement with respect to the R&W Policy between Buyer and the Carrier dated on or about the date hereof, Buyer shall provide to Carrier (i) copies of the final, executed closing deliveries exchanged pursuant to this Agreement, and (ii) if required by Carrier, a copy of the CD or a DVD-ROM reflecting the full and complete contents of Sellers’ Data Room as of Closing.
