Seller Software definition

Seller Software means any software (including firmware and other software embedded in hardware devices) owned, developed (or currently being developed), used, marketed, distributed, licensed or sold by the Seller at any time (other than non-customized third-party software licensed to the Seller for internal use on a non-exclusive basis).
Seller Software has the meaning set forth in Section 4.13(m).
Seller Software means all Software which is not Third-Party Software.

Examples of Seller Software in a sentence

Other than the Seller Marks and the Seller Software, none of the Selling Entities or any Subsidiary of the Selling Entities (other than the Transferred Entities) owns, licenses or sublicenses to any Transferred Entity any Intellectual Property that is used in and material, individually or in the aggregate, to the conduct of the Business by the Transferred Entities.

Seller hereby grants Purchaser a nonexclusive right and license to use Seller Software and documentation associated with it on the Equipment in the manner contemplated by the Proposal or as otherwise permitted under this Sales Agreement.

Upon any such termination of this license, Purchaser shall return the Seller Software and all copies of it and all documentation to Seller.

No event has occurred, and no circumstance or condition exists, that (with or without notice or lapse of time) will, or could reasonably be expected to, result in the delivery, license, or disclosure of the source code for any Seller Software to any other Person.

This Software license is effective as of the date of first delivery hereunder and shall continue until terminated by Buyer for any reason whatsoever upon thirty (30) days prior written notice to Seller, provided Buyer ceases using and either returns or destroys Seller Software and documentation; or by Seller, if Buyer does not comply with any of the Terms of this Software license and Buyer fails to remedy such failure within thirty (30) days after having received notice from Seller of such failure.


More Definitions of Seller Software

Seller Software means all Software owned by or licensed to Seller or any of its Affiliates other than any such Software that is: (a) owned by or licensed exclusively to any of the Transferred Entities; (b) licensed to any of the Transferred Entities and used primarily in the Business (as opposed to by Seller and its Affiliates (other than the Transferred Entities), but excluding any such Software that any Transferred Entity does not directly license but has the right to use or may be deemed to have licensed as consequence of such Transferred Entity being a Subsidiary of Seller or any of its Affiliates (other than any Transferred Entity); or (c) used exclusively in the Business by the Transferred Entities.
Seller Software. “Seller Software” means any software (whether or not developed or owned by Seller) incorporated into or used directly in the design, development, manufacture, maintenance or support of any Seller Product.
Seller Software is defined in Section 1.1(f).
Seller Software means the Owned Software --------------- and the Customer Software.
Seller Software means all Software (other than Orthex Software) that (i) is material to the operation of the Business of Seller; (ii) is distributed, sold, licensed, marketed or otherwise provided to third parties by Seller; and/or (iii) is licensed to, is used or held for use by Seller in connection with its work for Customers or its Products or Services, and includes Owned Software.
Seller Software means that software (in source and object code form): (i) in which the Copyright is owned or exclusively licensed by Seller or a Purchased Subsidiary, (ii) which is used primarily in, and necessary to, the operation of the Business, and (ii) which, if material, is listed on Schedule 1.1(b). Seller Software includes Seller Products.
Seller Software has the meaning set forth in Section 2.12(h).
