The Industrial Property is valid and enforceable and is not and to the Knowledge of Seller, has not been the subject of any proceeding regarding opposition to registration, cancellation or similar claim naming Seller or any Seller Associate as a party, or any other challenges to the validly of the Industrial Property, and, to the Knowledge of Seller, no such proceeding has been threatened.
The Due Diligence Materials contain details of all the land and premises owned, leased or otherwise occupied by a Seller or a Seller Associate in connection with the Business.
