Sell-out definition

Sell-out means the procedure provided in article 28 of Greek law 3461/2006 according to which, if following completion of the Offer the Company has obtained and holds Blue Shares carrying at least 90 per cent. of the voting rights represented by Blue Shares, the remaining shareholders of Blue who have not yet tendered or exchanged their shares may compulsorily force the Company to acquire their Blue Shares and Blue ADRs.

  • Sell Order has the meaning specified in Section 11.10(b)(i) below.

  • call-out /”claim” means each separate request for service or benefit for cover under any section of this RAC Breakdown Cover;

  • Sell or Offer to Sell means to: • sell, offer to sell, contract to sell or lend, • effect any short sale or establish or increase a Put Equivalent Position or liquidate or decrease any Call Equivalent Position • pledge, hypothecate or grant any security interest in, or • in any other way transfer or dispose of, in each case whether effected directly or indirectly.

  • Sell Offer means an offer to sell Capacity Resources in a Base Residual Auction, Incremental Auction, or Reliability Backstop Auction.

  • Sell means to exchange a contract of insurance by any means, for money or its equivalent, on behalf of an insurance company.

  • Cannabinoid concentrate means a substance obtained by separating cannabinoids from marijuana by:

  • Concentrate means the product of a process of extraction of metal or a metallic mineral from mineral ore that results in substantial enrichment of the metal or metallic mineral concerned;

  • Quotes Flow means the stream of Quotes in the Platform for each CFD.

  • Drug outlet means a pharmacy, nursing home, shelter home, convalescent home, extended care facility, drug abuse treatment center, penal institution, hospital, family planning clinic, student health center, retail store, wholesaler, manufacturer, mail-order vendor or other establishment with facilities located within or out of this state that is engaged in dispensing, delivery or distribution of drugs within this state.

  • Retail outlet means any establishment at which consumer products are sold, supplied, or offered for sale directly to consumers.

  • Knock-out Barrier means the applicable Strike.

  • Cathode ray tube or “CRT” means a vacuum tube, composed primarily of glass, which is the visual or video display component of an electronic device. A “used, intact CRT” means a CRT whose vacuum has not been released. A “used, broken CRT” means glass removed from its housing or casing whose vacuum has been released.

  • Cannabis concentrate means cannabis that has undergone a process to concentrate one or more active cannabinoids, thereby increasing the product’s potency. Resin from granular trichomes from a cannabis plant is a concentrate for purposes of this division. A cannabis concentrate is not considered food, as defined by Section 109935 of the Health and Safety Code, or a drug, as defined by Section 109925 of the Health and Safety Code.

  • lock-out means the closing of a place of employment or the suspension of work, or the refusal by an employer to continue to employ any number of persons employed by him in consequence of a trade dispute, done with a view to compelling those persons, or to aid another employer in compelling persons employed by him, to accept terms or conditions of or affecting employment;

  • Daily Concentration means the concentration of a substance as measured in a daily composite sample, or, arithmetic average of all grab sample results defining a grab sample average.

  • Submitted Sell Order has the meaning specified in Section 11.10(d)(i) below.

  • Borrow pit means an excavation site outside the limits of construction to provide material necessary to that construction, such as fill material for the embankments.

  • Lock-out Period means the period from, and including, the day following the Interest Determination Date to, but excluding, the corresponding Interest Payment Date;

  • Black-Out means a restriction imposed by the Company on all or any of its directors, officers, employees, insiders or persons in a special relationship whereby they are to refrain from trading in the Company's securities until the restriction has been lifted by the Company.

  • Marijuana concentrate means any type of marijuana product consisting wholly or in part of

  • iron ore concentrates means products (whether in pellet or other form) resulting from secondary processing but does not include metallised agglomerates;

  • concentrates means flavoring ingredients and, depending on the product, sweeteners used to prepare syrups or finished beverages;

  • Natural Outlet means any outlet into a watercourse, pond, ditch, lake or other body of surface or groundwater.

  • Opiate means any substance having an addiction-forming or addiction-sustaining liability similar to morphine or being capable of conversion into a drug having addiction-forming or addiction-sustaining liability. It does not include, unless specifically designated as controlled under section 124.201, the dextrorotatory isomer of 3-methoxy-n-methylmorphinan and its salts (dextromethorphan). It does include its racemic and levorotatory forms.

  • Transfer facility means any transportation related facility including loading docks, parking areas, storage areas and other similar areas where shipments of hazardous waste are held during the normal course of transportation.

  • Residual disinfectant concentration means the concentration of disinfectant measured in mg/L in a representative sample of water.
