Selected Employees definition

Selected Employees has the meaning set forth in Section 5.7(a).
Selected Employees means a group, mutually agreed upon by Seller and Buyer, of less than five percent (5%) of the aggregate number of Active Business Employees who are not concentrated in any one geographic market or business function.
Selected Employees has the meaning set forth in Section 7.1(a)(vi) of the Seller Disclosure Schedule.

  • Only Selected Employees who are common-law employees of the Company, a Parent or a Subsidiary shall be eligible for the grant of ISOs. In addition, a Selected Employee who is a 10-Percent Shareholder shall not be eligible for the grant of an ISO unless the requirements set forth in Section 422(c)(5) of the Code are satisfied.

More Definitions of Selected Employees

Selected Employees means the employees previously employed by Target Company, which is listed in Schedule 1 as annexed to this Agreement. The names, titles, ages, fixed salaries, bonuses and other economical and non-economical rewards are listed therein.
Selected Employees means those employees of Marion USA who attain age 60 with 15 years of service, as determined for pension plan and retiree medical purposes, during the period of June 23, 1997, through June 21, 1998.
