Except with respect to the material terms and conditions of the transactions contemplated by the Transaction Documents, the Company confirms that neither it nor any other Person acting on its behalf has provided any of the Purchasers or their agents or counsel with any information that it believes constitutes or might constitute material, non-public information which is not otherwise disclosed in the SEC Reports and SEDAR+ Filings.
The Company has no knowledge of any other clinical trials or preclinical studies, the results of which reasonably call into question the clinical trial or preclinical study results described or referred to in the SEC Reports and SEDAR+ Filings when viewed in the context in which such results are described.
The SEDAR+ Filings include all reports, schedules, forms, statements and other documents required to be filed by the Company under Canadian Securities Laws for the two years preceding the date hereof (or such shorter period as the Company was required by law or regulation to file such material) and the Company has filed such SEDAR+ Filings on a timely basis or has received a valid extension of such time of filing and has filed any such SEDAR+ Filings prior to the expiration of any such extension.
The consolidated historical financial statements of the Company included in the SEC Reports and SEDAR+ Filings comply in all material respects with applicable accounting requirements and the rules and regulations of the Commission and applicable Canadian Securities Laws with respect thereto as in effect at the time of filing.
