Security Filings definition

Security Filings means the following filings, or commitments to effect filings, on or before the Closing Date:
Security Filings filed in connection with the Security Interest granted to each Beneficiary hereunder. The Grantors shall be entitled to rely on any notice, demand or communication given by the Collateral Agent in respect of the Security Filings. Beneficiaries shall notify Grantors of any new or substitute Collateral Agent within twenty-five (25) days following the date such new Collateral Agent is appointed, provided, that -------- Grantors may continue to rely on any notice, demand or communication given by the previously appointed Collateral Agent in respect of the Security Filings until Grantors have received such notice.
Security Filings shall have the meaning provided in Section 3 hereof.

More Definitions of Security Filings

Security Filings means all filings or recordations necessary or appropriate to register this Agreement with TCA and to otherwise maintain, protect and perfect Lessor’s interest in the Aircraft, this Agreement and any permitted sublease with the relevant authorities in the PPSA Location, Domicile and any other jurisdictions which Lessor may reasonably, from time to time, designate as a result of a change in the jurisdictions in which Lessee’s PPSA Location, Domicile, or situation for Cape Town Convention purposes are located or as a result of a change in Applicable Law;
Security Filings shall have the meaning set forth in Section 5.1(e).
Security Filings means (i) the Company's and Citadel Broadcasting Company's ("CBC") Annual Reports on Form 10-K, as amended, for the years ended December 31, 1998 and 1999, as filed with the SEC, (ii) the Company's proxy statements relating to all of the meetings of stockholders (whether annual or special) of the Company since January 1, 1998, as filed with the SEC and (iii) all other reports, statements and registration statements and amendments thereto (including, without limitation, Quarterly Reports on Form 10-Q and Current Reports on Form 8-K, as amended) filed by the Company or CBC, as applicable, with the SEC since January 1, 1998, together with those reports or other documents of the
Security Filings means the filings duly executed by Purchaser as debtor, in favor of Collateral Agent, for the benefit of Vendors, as secured party, and caused to be filed prior to the Operative Date in the jurisdictions required by Secured Parties.

Related to Security Filings

  • Filings the filing or recording of (i) the Financing Statements as set forth in Schedule 3, (ii) this Agreement or a notice thereof with respect to Intellectual Property as set forth in Schedule 3, and (iii) any filings after the Closing Date in any other jurisdiction as may be necessary under any Requirement of Law.

  • Filing Statements is defined in Section 5.1.13.

  • Financing Statements The meaning specified in Section 9-102(a)(39) of the UCC.

  • Collateral Reports means the reports with respect to the Collateral referred to in Annex F.

  • Regulatory Filings means any submission to a Regulatory Authority of any appropriate regulatory application together with any related correspondence and documentation, and will include any submission to a regulatory advisory board, marketing authorization application, and any supplement or amendment thereto.

  • Intellectual Property Security Agreements has the meaning specified in the Security Agreement.

  • Regulatory Filing means any filing with any Governmental Authority with respect to the research, development, manufacture, distribution, pricing, reimbursement, marketing or sale of a Product.

  • UCC Searches has the meaning set forth in Section 3.1(v) hereof.

  • Filing Statement means this filing statement, together with all appendices attached hereto and including the summary hereof;

  • Security Information means account numbers and/or Username as applicable, passwords and other information required to identify you for the purposes of you trading with us under this Agreement.

  • Security Agreements means the Borrower Security Agreement and the Subsidiary Security Agreement.

  • Company Filings means all documents publicly filed by or on behalf of the Company on SEDAR since January 1, 2020.

  • Intellectual Property Security Agreement means the Intellectual Property Security Agreement dated as of the Closing Date among the Loan Parties and the Collateral Agent, granting a Lien in the Intellectual Property and certain other assets of the Loan Parties, as amended and in effect from time to time.

  • Required Filings shall have the meaning specified in the Pledge and Security Agreement.

  • Product Authorizations means any and all approvals, including applicable supplements, amendments, pre- and post-approvals, clearances, licenses, notifications, registrations, certifications or authorizations of any Governmental Authority, any Standard Body necessary for the manufacture, development, distribution, use storage, import, export, transport, promotion, marketing, sale or other commercialization of a Product in any country or jurisdiction.

  • UCC Filing Authorization Letter means a letter duly executed by each Loan Party authorizing the Collateral Agent to file appropriate financing statements on Form UCC-1 without the signature of such Loan Party in such office or offices as may be necessary or, in the opinion of the Collateral Agent, desirable to perfect the security interests purported to be created by each Security Agreement and each Mortgage.

  • Regulatory Approvals means any registrations, licenses, authorizations, permits or approvals issued by any Governmental Authority and applications or submissions related to any of the foregoing.

  • National Security Information means information that has been determined pursuant to Executive Order 13526 or any predecessor order to require protection against unauthorized disclosure and is marked to indicate its classified status when in documentary form. Classified or national security information is specifically authorized to be protected from unauthorized disclosure in the interest of national defense or foreign policy under an Executive Order or Act of Congress.

  • UCC Financing Statements means collectively the Lender Financing Statements and the Lessor Financing Statements.

  • Financing Statement means a record or records composed of an initial financing statement and any filed record relating to the initial financing statement.

  • Required Regulatory Approvals means the Seller Required Regulatory Approvals and the Buyer Required Regulatory Approvals.

  • Product Approval(s) means any approvals, registrations, permits, licenses, consents, authorizations, and other approvals, and pending applications and requests therefor, required by applicable Agencies related to the research, Development, manufacture, distribution, finishing, packaging, marketing, sale, storage or transport of a Product within the United States of America, and includes, without limitation, all approvals, registrations, licenses or authorizations granted in connection with any Application related to that Product.

  • Fixture “general intangible”, “goods”, “health-care-insurance receivable”, “instruments”, “inventory”, “investment property”, “letter-of-credit right”, “proceeds”, “record”, “securities account”, “security”, “supporting obligation” and “tangible chattel paper”.

  • Governmental Filings means all filings, including franchise and similar tax filings, and the payment of all fees, assessments, interests and penalties associated with such filings with all Governmental Authorities.

  • Copyright Security Agreements means the Copyright Security Agreements made in favor of Agent, on behalf of itself and Lenders, by each applicable Credit Party.

  • Other Filings has the meaning set forth in Section 6.8(a).
