Securitized Asset definition

Securitized Asset means an asset that: (1) is transferred, sold, or conveyed to an issuing entity; and (2) collateralizes the ABS Interests issued by the issuing entity. Under the Proposed Rules, “ABS Interest” (1) includes any type of interest or obligation issued by an issuing entity, whether or not in certificate form, including a security, obligation, beneficial interest or residual interest, payments on which are primarily dependent on the cash flows of the collateral owned or held by the issuing entity; and (2) does not include common or preferred stock, limited liability interests, partnership interests, trust certificates, or similar interests that: (i) are issued primarily to evidence ownership of the issuing entity; and (ii) the payments, if any, on which are not primarily dependent on the cash flows of the collateral held by the issuing entity.

Securitized Asset means a Participation, a Specific Interest, a Trust Loan, any interest in Receivables, leases or other property, or any security (as defined for the purposes of the Securities Act (Ontario)), whether or not secured or backed by Participations or Specific Interests, acquired or to be acquired by the Trust pursuant to a Securitization Agreement;

Securitized Asset means any retail installment sales contract or installment loan agreement for manufactured housing, and any mortgage loan, included in any Securitization Trust pursuant to the related Pooling and Servicing Agreement.

Related to Securitized Asset

  • Securitization Asset means (a) any accounts receivable, mortgage receivables, loan receivables, royalty, franchise fee, license fee, patent or other revenue streams and other rights to payment or related assets and the proceeds thereof and (b) all collateral securing such receivable or asset, all contracts and contract rights, guarantees or other obligations in respect of such receivable or asset, lockbox accounts and records with respect to such account or asset and any other assets customarily transferred (or in respect of which security interests are customarily granted) together with accounts or assets in connection with a securitization, factoring or receivable sale transaction.

  • Portfolio Asset means an asset of an investment fund;

  • Securitization Property means the property described in section 10j.

  • Securitization Assets means any accounts receivable or other revenue streams subject to a Qualified Securitization Financing.

  • Securitization Date means the effective date on which the Securitization of the first Note or portion thereof is consummated.

  • Securitization Facility means any of one or more receivables or securitization financing facilities as amended, supplemented, modified, extended, renewed, restated or refunded from time to time, the Obligations of which are non-recourse (except for customary representations, warranties, covenants and indemnities made in connection with such facilities) to the Issuer or any of its Restricted Subsidiaries (other than a Securitization Subsidiary) pursuant to which the Issuer or any of its Restricted Subsidiaries sells or grants a security interest in its accounts receivable or Securitization Assets or assets related thereto to either (a) a Person that is not a Restricted Subsidiary or (b) a Securitization Subsidiary that in turn sells its accounts receivable to a Person that is not a Restricted Subsidiary.
