Securitization Exposure definition

Securitization Exposure means an exposure to a special purpose vehicle that is unable to vary its capital structure on a voluntary basis and is secured primarily by financial assets on a non-recourse basis to the originator or seller of such assets.

Securitization Exposure means, as determined by the Administrative Agent in its sole discretion acting in good faith on any date of determination, (1) an on-balance sheet or off-balance sheet credit exposure (including credit-enhancing representations and warranties) that arises from a traditional securitization or synthetic securitization (including a resecuritization), (2) an exposure that directly or indirectly references a securitization exposure described in clause (1) of this definition or (3) otherwise determined by the Administrative Agent in its sole discretion acting in good faith, with the advice of counsel, to be a “UK Securitization Exposure” under the UK Securitization Regulations.
Securitization Exposure means, as determined by the Administrative Agent in its sole discretion (1) an on-balance sheet or off-balance sheet credit exposure (including credit-enhancing representations and warranties) that arises from a traditional securitization or synthetic securitization (including a resecuritization), (2) an exposure that directly or indirectly references a securitization exposure described in clause (1) of this definition, (3) any exposure that is recharacterized as either (1) or (2) and (4) as is otherwise determined by the Administrative Agent in its sole discretion.
