Securitization Amount definition
Securitization Amount means, at any date of determination thereof and in respect of any Permitted Securitization Transaction, (a) in the case of a Permitted Securitization Transaction structured as a borrowing of loans secured by receivables or royalty payments, the outstanding principal amount of Indebtedness incurred in respect of such Permitted Securitization Transaction that is secured by such receivables or royalty payments and (b) in the case of a Permitted Securitization Transaction structured as a sale or other transfer of receivables or royalty payments (other than a sale or transfer of such receivables or royalty payments to a Subsidiary), the aggregate amount of cash consideration received by the Company or any of its Subsidiaries from such sale or transfer, but only to the extent representing the outstanding equivalent of principal, capital or comparable interests in respect of such receivables or royalty payments that remain uncollected at such time and would not be distributed to the Company or a Subsidiary if such Permitted Securitization Transactions were to be terminated at such time.
Securitization Amount means the aggregate cash amount paid by the lenders or purchasers under any Permitted Receivables Financing in connection with their purchase of, or the making of loans secured by, Securitization Assets or interests therein, as the same may be reduced from time to time by collections with respect to such Securitization Assets or otherwise in accordance with the terms of the Permitted Receivables Financing Documents (but excluding any such collections used to make payments of items included in clause (c) of the definition of Consolidated Interest Expense); provided, however, that if all or any part of such Securitization Amount shall have been reduced by application of any distribution and thereafter such distribution is rescinded or must otherwise be returned for any reason, such Securitization Amount shall be increased by the amount of such distribution, all as though such distribution had not been made.
Securitization Amount means, as of any date, the aggregate amount of proceeds received by MascoTech or any of its Consolidated Subsidiaries, as the transferor, with respect to any Receivables Sale at such date to the extent the related transferee is entitled at such time to the recovery of such amount out of the proceeds of the assets transferred pursuant thereto.

Subsection 3.1 of the Credit Agreement is hereby amended by deleting the words "the aggregate Accreted Value of the then outstanding Zero Coupon Notes" appearing in clause (iii) of paragraph (a) of such subsection and substituting in lieu thereof the words "the sum of (A) the aggregate Accreted Value of the then outstanding Zero Coupon Notes and (B) the Securitization Amount at such time".
For purposes of determining increased costs under Section 2.3 of the SPV Loan Agreement or a Securitization Amount under Section 2.4 of the SPV Loan Agreement, TFC shall allocate costs and payment obligations in respect of Parallel Claims proportionately among the Loan, on the one hand, and other loans or timeshare receivables funded directly or indirectly under the Program (the "Other Assets") on the other hand, using reasonable averaging and attribution methods.
Subsection 3.6 of the Credit Agreement is hereby amended by adding the words "and (iii) the Securitization Amount at such time" after the words "Zero Coupon Notes" in such subsection.

Securitization Amount means, at any date of determination thereof and in respect of any securitization of accounts receivable of Holdings or any of its Subsidiaries, (a) in the case of a securitization of such accounts receivable structured as a borrowing of loans secured by such accounts receivable, the outstanding principal amount of Indebtedness issued in respect of such securitization that is secured by such accounts receivable and (b) in the case of a securitization of such accounts receivable structured as a sale of such accounts receivable (other than a sale of such accounts receivable to a Subsidiary), the aggregate amount of cash consideration received by Holdings or any of its Subsidiaries from such sale, but only in respect of accounts receivable that remain uncollected as of such date.
Securitization Amount. As defined in Section 2.4(c) of the SPV Loan Agreement.
