Securitisation Entity definition

Securitisation Entity means any special purpose vehicle created for the sole purpose of carrying out, or otherwise used solely for the purpose of carrying out a Non-recourse Securitisation or any other Industrial Subsidiary which is effecting Non-recourse Securitisations; and
Securitisation Entity means an entity which is not a Mortgage Insurer or a Trade Insurer, but which is engaged to assist a CP for a securitisation related purpose.

  • Notwithstanding the foregoing, to the extent that Invested Assets include assets held by a Securitisation Entity, the Invested Assets Fee with respect to such assets shall accrue monthly and be paid semi-annually on the date the Securitisation Entity makes a regularly scheduled payment of interest and/or principal.

Securitisation Entity means any Person formed or availed of for the purposes of financing and/or acquiring assets now owned, leased, managed and/or operated by or to be owned, leased, managed and/or operated by the Company or any Related Entity of the Company.
Securitisation Entity means a wholly-owned Subsidiary of a Non-Core Group Member (or another Person formed for the purposes of engaging in a Receivables Financing with a Non-Core Group Member in which a Non-Core Group Member makes an investment and to which the relevant Person sells, conveys or otherwise transfers Accounts Receivable and related assets) which engages in no activities and incurs no Indebtedness or other liabilities or obligations other than in connection with the financing of Accounts Receivable of a Non-Core Group Member, all proceeds from such Accounts Receivable and all rights (contractual or other), collateral and other assets relating to such Accounts Receivable, and any business or activities incidental or related to such business, and which is designated by the Board of Directors of the relevant Non-Core Group Member (as provided below) as a Securitisation Entity and:
Securitisation Entity means any Person (whether or not a Subsidiary of the relevant Obligor(s)): (i) established for the purpose of transferring Receivables or issuing asset-backed securities or debt, regardless of whether such Person is an issuer of asset-backed securities; and (ii) any Subsidiary of the relevant Obligor(s) formed exclusively for the purpose of satisfying the requirements of Credit Enhancement Agreements, regardless of whether such Person is an issuer of securities.
Securitisation Entity means a trust or other special purpose vehicle established for the purpose of acquiring loans and related rights as part of a securitisation programme;
Securitisation Entity means a Material Company (other than the Company) which is wholly-owned by the Company, or a wholly owned Subsidiary of another person in which the Company or any other Material Company makes an Investment, and in each case to which the Company or any other Material Company transfers accounts receivables and related assets, that engages in no activities other than in connection with the financing of accounts receivables which is designated by the board of directors of the Company (as provided below) as a Securitisation Entity; and
