Examples of Securities Terms in a sentence
These Securities Terms shall apply to all Securities Transactions which you may undertake with or through us and all Services which we may offer to you to enable you to undertake any Securities Transaction.
The parties intend that the terms and conditions contained in the IO, the Terms and Conditions and these Securities Terms, along with the respective exhibits contained therein, will be integrated and constitute one integrated agreement (Agreement”).
If after a Repurchase Date the Association is to receive any Repurchase Make-up Interest from the Issuer in cash pursuant to the Securities Terms and Conditions, the Issuer shall transfer to the Lender the amount of any such Repurchase Make-up Interest on the date that such Repurchase Make-up Interest is received by it under the Securities Terms and Conditions.
For the avoidance of doubt, for so long as there are any obligations outstanding under the Transaction Documents (as defined in the Senior Loan Agreement), the Subscriber shall not have the right to require the Issuer to discharge any of its obligations directly towards the Subscriber under this Agreement and the Securities Terms and Conditions in any manner other than as stated above directly to and in favour of the State.
The Register may be closed by the Issuer for such periods as are specified in the Securities Terms and Conditions.
The parties may not amend Securities Terms except by written instrument signed by the parties.
Without prejudice to any provision in these Securities Terms, each Securities Transaction which you may undertake or purport to undertake with or through us shall be subject to you providing, executing and/or completing all documents as may be required by the RBMV Bank from time to time in form and substance acceptable to the Bank, including all legal and/or security documents as may be required by the Bank to be duly executed and where applicable, stamped.
Except as otherwise set forth in the IO, Terms and Conditions and these Securities Terms, no failure to exercise, or delay in exercising, any rights, remedy, power or privilege arising from such agreements shall operate or be construed as a waiver thereof; nor shall any single or partial exercise of any right, remedy, power or privilege hereunder preclude any other or further exercise thereof or of any other right, remedy, power or privilege.
The IO, Terms and Conditions and these Securities Terms and the Exhibits included in such documents, including any terms incorporated herein, contains the entire understanding of the parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous written or oral understandings, agreements, representations, and warranties with respect to such subject matter.
