Securing Party definition

Securing Party shall have the respective meanings assigned to such terms in the Security Agreement.

  • Each Securing Party agrees that, from time to time upon the written request of the Administrative Agent, such Securing Party will execute and deliver such further documents and do such other acts and things as the Administrative Agent may reasonably request in order fully to effect the purposes of this Agreement.

  • Notwithstanding any other provision contained herein or in any other Finance Document, including without limitation Section 12.15 (Guarantees) of the Common Terms Agreement and Section 4.25 Limitation on Guarantees) of the Indenture, a Securing Party may guarantee any obligations of any other Securing Party that such other Securing Party is permitted to incur under the Finance Documents.

More Definitions of Securing Party

Securing Party shall have the respective meanings assigned to such terms in the Pledge Agreement.
Securing Party means a New Securing Party, an Existing Securing Party or a Possible Securing Party.
Securing Party has granted to the Collateral Agent for itself and the ratable benefit of the Secured Parties a security interest in and lien upon, and pledged to the Collateral Agent for itself and the ratable benefit of the Secured Parties, its assets as described above, which include checks, drafts and other instruments received for deposit in the Accounts, and all cash balance and other amounts at any time in or attributable to the Accounts, as security for all existing and hereafter arising obligations, liabilities and indebtedness of Securing Parties to the Collateral Agent and the Secured Parties. Securing Party shall also mean and be a reference to such Additional Securing Party, and (ii) the supplemental Annexes 1 through 6 attached to each Security Agreement Supplement shall be incorporated into and become a part of and supplement Annexes 1 through 6, respectively, hereto, and the Collateral Agent may attach such supplemental Annexes to such Annexes; and each reference to such Annexes shall mean and be a reference to such Annexes as supplemented pursuant to each Security Agreement Supplement.

Related to Securing Party

  • Insuring Party Lessor is the "Insuring Party" unless otherwise stated herein. (See Paragraph 8 for further provisions.)

  • Financing Party means any and all Persons, or the agents or trustees representing them, providing senior or subordinated debt or tax equity financing or refinancing (including letters of credit, bank guaranties or other credit support).

  • Managing Party shall have the meaning set forth in Section 7.2(a).

  • Disclosing Party means the Party disclosing Confidential Information to the Receiving Party.
