Section entitled. Severance" shall be amended to read in its entirety as follows: Severance Except as provided below under the paragraph headed "Change-of-Control", Covance guarantees that should you be involuntarily terminated for reasons other than for Cause, you will receive an amount equal to the sum of (a) two years base salary (payable on the normal payroll cycle) determined at the time of termination, and (b) two years of the annual incentive bonus (payable on the normal bonus cycles) in an amount equal for each such year to the product of your base salary in effect at termination and 55% (the sum of (a) and (b) being, collectively, the "Termination Payments").

Examples of Section entitled in a sentence

  • If this Option shall terminate pursuant to the next preceding paragraph, the Grantee or other person then entitled to exercise this Option shall have the right, at such time prior to the consummation of the transaction causing such termination as the Company shall designate, to exercise the unexercised portions of this Option, including the portions thereof which would, but for this Section entitled "Adjustments and Corporate Reorganizations," not yet be exercisable.

  • If the Company is required to withhold on account of any federal, state or local tax imposed as a result of an exercise of this Option with previously issued stock or by retention of some optioned shares under this Section entitled "Alternative Payment with Stock," the stock surrendered or retained shall include an additional number of shares whose Fair Market Value equals the amount thus required to be withheld.

  • If the dispute does not involve an issue that requires submission of a Notice pursuant to the Section entitled “Notice” of this Agreement, the respective Parties’ Project Managers shall make a good faith attempt to promptly resolve the dispute by informal negotiation.

  • As may be set forth below in the Section entitled Payment and Account Setup Information and subject to the payment of the applicable fee, CFS will provide to Licensee the additional services or features as described therein (“Additional Services”).

  • The undersigned expressly understand(s) that the Section entitled “TERM” above contains provisions under which this Lease may automatically continue as a tenancy from month-to-month upon the expiration of the term hereof.

  • In addition to the words and terms elsewhere defined in this Employment Agreement, certain capitalized words and terms used in this Employment Agreement shall have the meanings given to them by the definitions and descriptions in this Section entitled Definitions unless the context or use indicates another or different meaning or intent, and such definition shall be equally applicable to both the singular and plural forms of any of the capitalized words and terms herein defined.
