SECTION 12A definition

SECTION 12A. The following sentence is added after the second sentence of this Section: "TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUBJECT TO SECTION 7 AND ADDITIONALLY TO ANY PROVISION OF THIS AGREEMENT, THE LIMITED WARRANTIES GIVEN BY MICROSOFT IN THIS AGREEMENT ARE EXCLUSIVE AND ARE IN LIEU OF ALL OTHER WARRANTIES AND CONDITIONS WHATSOEVER, WHETHER EXPRESS, IMPLIED OR STATUTORY."

Examples of SECTION 12A in a sentence

  • It shall be the responsibility of the Company to assure that it and the separate accounts of the other Participating Companies (as defined in SECTION 12(A) below) participating in any Fund calculate voting privileges in a consistent manner.

  • THE FOREGOING DISCLAIMER SET FORTH IN SECTION 12(A) DOES NOT APPLY TO CLIENT’S BREACH OF SECTION 5(B) OR 5 (C) (CLIENT RESPONSIBILITIES), OR EITHER PARTY’S LIABILITY UNDER SECTION 8 (NONINFRINGEMENT, INDEMNIFICATION).

  • On the Date of Termination pursuant to this SECTION 12(A), the Employee shall be entitled to receive, and the Company agrees to pay and deliver, the payments and other benefits applicable to termination without Cause set forth in SECTION 11(B) hereof at the times and subject to the conditions set forth therein.

  • In addition, on termination of the Employee under this SECTION 12(A), all of the Employee's Options and other options, warrants and rights relating to capital stock of the Company shall immediately vest and become exercisable.

  • THE POLICIES DESCRIBED IN THIS SECTION AND SECTION 12.A. 1 MUST APPLY TO LAWSUITS OR ACTIONS BROUGHT ANYWHERE IN THE WORLD.

  • SECTION 12(A) DOES NOT SEEK TO LIMIT OR EXCLUDE THE LIABILITY OF TREND MICRO OR ITS SUPPLIERS IN THE EVENT OF DEATH OR PERSONAL INJURY CAUSED BY ITS NEGLIGENCE OR FOR FRAUD OR FOR ANY OTHER LIABILITY FOR WHICH IT IS NOT PERMITTED BY LAW TO EXCLUDE.

  • Until all amounts outstanding in respect of the Revolving Credit Loans shall become due and payable on the Commitment Termination Date, but subject to the terms and conditions hereof, Borrower may from time to time borrow, repay and reborrow under this SECTION 1.2(A).

  • NOTHING IN THIS SECTION 12(A), HOWEVER, WILL AFFECT THE RIGHT OF ANY PARTY TO SERVE LEGAL PROCESS IN ANY OTHER MANNER PERMITTED BY LAW OR AT EQUITY.

  • If any party terminates this Agreement pursuant to SECTION 8.1 above, all rights and obligations of the parties hereunder will terminate without any liability of any party to any other party, except for any liability of any party then in breach, provided that the provisions of this section, SECTION 8.3, ARTICLE IX, the final sentence of SECTION 1.2(A), and the final sentence of SECTION 6.8 of this Agreement will remain in full force and effect and survive any termination of this Agreement.
