Second Quarter-End means the dates denoted as Second Quarter-End dates on Exhibit F hereto.

Second Quarter-End with respect to any fiscal year of the Borrower, the last day of the second quarter of such fiscal year; and "Second Quarter" shall mean the second fiscal quarter of the Borrower so ending.
