Second Priority Secured Party definition

Second Priority Secured Party means the Second Priority Representative, the Second Priority Creditors and any other holders of the Second Priority Obligations.
Second Priority Secured Party means each holder from time to time of the Second Priority Obligations.
Second Priority Secured Party has the meaning set forth in the introductory paragraph hereof, but shall also include any Person identified as a “Second Priority Secured Party” in any Second Priority Agreement other than the Existing Second Priority Agreement.

  • With respect to each Type of Common Collateral, nothing contained herein shall prohibit or in any way limit the First Priority Representative or any other First Priority Secured Party from objecting in any Insolvency Proceeding or otherwise to any action taken by any Second Priority Secured Party or Third Priority Secured Party other than any action taken by such Second Priority Secured Party or Third Priority Secured Party, as the case may be, that is expressly permitted by this Agreement.

  • The First Priority Secured Parties are under no obligation to consult with any Second Priority Secured Party at any time prior to or when exercising their rights and remedies with respect to the Common Collateral.

Second Priority Debt shall include any Registered Equivalent Notes and Guarantees thereof by the Guarantors issued in exchange therefor.

  • Second Priority Collateral means any “Collateral” as defined in any Second Priority Debt Document or any other assets of the Borrower or any other Grantor with respect to which a Lien is granted or purported to be granted pursuant to a Second Priority Collateral Document as security for any Second Priority Debt Obligation.
