SEC Requirements definition

SEC Requirements means the requirements set forth on Exhibit “K,” attached hereto and incorporated herein by reference.
SEC Requirements means the requirements for financial statements included in a registration statement filed in connection with an offer or exchange of debt securities on Form S-1 or Form S-4 (or any successor forms) under the Securities Act in compliance with Regulation S-X and Regulation S-K promulgated under the Securities Act.
SEC Requirements means the applicable regulations, rules and requirements promulgated by the United States Securities Exchange Commission.

SEC Requirements has the meaning attributed to that term in Section 7.1.
SEC Requirements means Regulation S-X and Regulation S-K under the Securities Act of 1933, as amended (the “Securities Act”) and of the type and form customarily included in (i) offering memoranda pursuant to 144A promulgated under the Securities Act, (ii) registration statements under the Securities Act and (iii) reports required to be filed under the Securities Exchange Act of 1934, in each case with such disclosures as are required by the Securities and Exchange Commission (the “SEC”).

Related to SEC Requirements

  • OHS Requirements means all Laws applicable to the Supply and related to occupational health or safety, and all of the City Policies that relate to occupational health or safety, and includes without limitation the WCA;

  • Listing Requirements means the Main Market Listing Requirements of Bursa Securities.

  • Reporting Requirements As defined in Section 11.15.

  • MREL Requirements means the laws, regulations, requirements, guidelines, rules, standards and policies relating to minimum requirements for own funds and eligible liabilities applicable to the Issuer and/or the Group, from time to time, (including any applicable transitional or grandfathering provisions), including, without limitation to the generality of the foregoing, any delegated or implementing acts (such as regulatory technical standards) adopted by the European Commission and any regulations, requirements, guidelines, rules, standards and policies relating to minimum requirements for own funds and eligible liabilities adopted by the Federal Republic of Germany or the Republic of Italy, a relevant resolution authority or the European Banking Authority from time to time (whether or not such requirements, guidelines or policies are applied generally or specifically to the Issuer and/or the Group), as any of the preceding laws, regulations, requirements, guidelines, rules, standards, policies or interpretations may be amended, supplemented, superseded or replaced from time to time.

  • Pretreatment requirements means any substantive or procedural requirement related to pretreatment, other than a pretreatment standard, imposed on an industrial user.
