  • Contractor shall pay and satisfy any judgment, award or decree that may be rendered against MTS, SDTI, SDTC, SD&AE, SD&IV and any and all of its directors, officers, agents or employees, in any such suit, action or other legal proceeding.

  • Contractor shall reimburse MTS, SDTI, SDTC, SD&AE, SD&IV and any and all of its directors, officers, agents or employees for any and all legal expenses and costs incurred by each of them in connection therewith or in enforcing the indemnity herein provided.

  • SDTC shall have 45 days from the receipt of all required reports to provide notice of Acceptance or rejection of a Claim.

  • SDTC shall have a period of sixty (60) days to assess the Project and the reasons for the Eligible Recipient’s determination that the Project should not continue.
