Borrowers represent and warrant that i3-SDCR has completed the acquisition of all of the outstanding common stock of SDCR (the "SDCR Acquisition") pursuant to and in accordance with that certain Stock Purchase Agreement (the "SDCR Acquisition Agreement") dated as of October 31, 2017, by and among i3-SDCR, Ality ▇.
