SD Transfer means the receipt by Borrower from Supplies Distributor, Inc. of cash funds after March 29, 2007, to the satisfaction of the Bank.

  • EMCLP has all necessary corporate and partnership power and authority to own and dispose of or acquire the BR Swap Rights and SD Transfer Rights, as applicable, to enter into this Agreement and the Contracts and instruments required by this Agreement to be delivered by it, and to perform its obligations hereunder and thereunder.
