Scribe Technology definition

Scribe Technology means Scribe Background Technology, and Scribe Sole Technology. For the avoidance of doubt, any [*] that is proprietary to Scribe and provided by or on behalf of Scribe to Acuitas will be Scribe Background Technology, and, therefore, Scribe Technology under this Agreement.

  • In addition, each Party will, upon the other Party’s reasonable written request, furnish to such other Party other samples of Materials which comprise, embody or incorporate Scribe Technology or Acuitas LNP Technology that are in such Party’s Control and are reasonable (both in quantity and identity) and useful for the other Party to carry out its responsibilities under the Workplan, provided [*].

  • Subject to the terms and conditions of this Agreement, Scribe hereby grants to Acuitas a worldwide, non-exclusive, royalty-free license under the Scribe Technology, solely to the extent needed to enable Acuitas to perform its activities set forth in the Workplan and for no other purpose.
