This Agreement is subject to review by the SCPSC upon complaint by either Party, or pursuant to its own motion, and the terms herein may be modified in whole or in part or declared null and void by the SCPSC.
In the event that the SCPSC issues an order or other such regulatory directive with modification, suspension, investigation or other condition that has a material adverse effect on either Party, then the Parties agree to negotiate in good faith for a period of thirty (30) days an amendment to this Agreement that complies with such SCPSC order or directive.
The schedule for completion may involve months of preparation and will require cooperation by all parties; County will work with SCPSC and vendors to ensure timely completion of projects.
If County and SCPSC agree, the project or service will be included in the annual budget, subject to the authorizations required by Service Level Agreement (SLA) Section 2.4. There may be occasions when modifications or enhancements are requested outside of the normal budget process.
Guidelines for SCPSC to report problems and request work are included in Schedule G - SCPSC Responsibilities.
SCPSC Agencies will be responsible to make modifications necessary to allow users to access available resources provided by the County.
Initiation of projects will be a collaborative effort with SCPSC.
These services are not part of the Standard Service Agreement and charges will be separately itemized on the quarterly SCPSC invoice.
Buyer reserves right to provide to the SCPSC, upon request, information pertaining to this Agreement including, but not limited to records of the Facility's generation output and ▇▇▇▇▇'s purchases thereof, including copies of monthly statements of power purchases and data from meters and telemetering equipment installed at the Facility.
County service delivery is set up to provide the SCPSC users with this ability including an electronic work request and problem reporting system, a 24-hour help desk, and a commitment to open and ongoing communication.
