SCP Entity definition

SCP Entity means any of the investment funds or investment vehicles advised or managed (directly or indirectly) by Searchlight Capital Partners, L.P. or any of their respective portfolio companies (as such term is customarily used in the private equity industry).
SCP Entity means a to-be-formed California limited liability company or such other entity as may be reasonably acceptable to the Purchaser, formed by or on behalf of the Shareholders prior to the Closing, for the principal purpose of assuming the liabilities and obligations under the Special Compensation Plan.
SCP Entity means Sterling and any of its Affiliates (other than the General Partner).

  • As soon as commercially practicable following the date hereof but in any event prior to the Closing, the Shareholder Representative, with cooperation from the Company, will cause the formation and organization of the SCP Entity and will cause the SCP Entity to enter into the SCP Assignment and Assumption Agreement and such other instruments, documents and assurances as may be reasonably requested in connection therewith.
