Scope Products definition

Scope Products means the product or product groups listed on Annex A attached to and made a part of this Agreement, including Scopes and Scope Accessories and Replacement Products and all improvements and replacements for those products, and such other product or product groups as shall be added to Annex A by the mutual agreement of the parties, as contemplated by Section 2.4.
Scope Products. ’ means (a) Mobile Phones and Smart Phones; (b) accessories for such Tablets, Mobile Phones and Smart Phones such as headsets, batteries, chargers, data cables, operational software, bundled with such Tablets, Mobile Phones and Smart Phones, or sold separately as replacement parts clearly indicating on the packaging that it is linked to specific product types; (c) Apps; and (d) Tablets. Tablets will only be included in the definition of Scope Products as from 1 January 2018 (inclusive).
Scope Products means any Licensee branded catheters, sheaths and related interventional devices, that are (i) Sold in any of the countries where at least one Licensed Patent is active, or (ii) manufactured in any of the countries where there is at least one Licensed Patent active and subsequently Sold elsewhere, implementing (as described in the Licensed Patents) the: - “Connection lead for an electrical accessory device of an MRI system” technology; and/or - “PCB based RF transmission line” technology; and/or - “Cooled tip MR ablation catheter” technology, but not implementing (as described in the Unlicensed Patents) the: - “Wide band low loss safe transmission line” technology; and/or - “Matching technique for low profile safe transmission lines in MR-safe devices” technology; and/or - “Robust tip tracking of catheters with safe transformer line” technology.

Examples of Scope Products in a sentence

  • Within 30 days following the expiration or termination of this Agreement, Registrant shall submit to Philips a final certified Royalty Reporting Form on the number of Scope Products in stock at the time of expiration or termination of this Agreement.

  • Philips makes no warranty whatsoever that the manufacture, procurement, importing, offering for Sale, Sale, or use of Scope Products does not infringe or will not cause infringement of intellectual property rights of any third party.

  • Registrant confirms that it has submitted to Philips a Royalty Reporting Form, certified by a corporate officer of Registrant, setting forth the information specified in Clause 2.04 in respect of those Scope Products made, Sold, used, or intended for use in a Patent Country during the Past Use Period, and specifying the royalties due (“Past Use Amount”) for the Past Use Period.

  • Upon the termination of this Agreement for any reason pursuant to Clauses 6.02‐6.05, Registrant and its Affiliates shall immediately cease the manufacture, procurement and Sale of Scope Products manufactured by an unreleased manufacturer (including but not limited to Registrant and any of its Affiliates).

  • Registrant acknowledges that the manufacture and Sale of Scope Products may be subject to export control laws and regulations.

  • Royalties, calculated in accordance with Section 2, shall be due and payable for all Scope Products manufactured prior to but remaining in stock with Registrant on the date of expiration or termination of this Agreement.

  • To enable verification of the Royalty Reporting Forms, as well as any other use of Release Patents, Registrant and its Affiliates shall keep complete and accurate books and records relating to the procurement, manufacture, Sale and other disposal of Scope Products and Exempt Products, and shall keep these books and records available for a period of 5 years following the procurement, manufacture, or Sale or other disposal of such Scope Products and Exempt Products.

  • Philips makes no warranty whatsoever that the manufacture, procurement, offering for Sale, Sale, or use of Scope Products does not infringe or will not cause infringement of any intellectual property rights other than the Release Patents.

  • Philips and its Affiliates own certain Patents directed to Wireless Power Components and Wireless Power Devices (as hereinafter defined), both Philips Qi Essential Patents (as defined below) and a broader category, also comprising Philips Patents that are not essential to the Qi Wireless Power Standard, but which may nevertheless be relevant for the manufacture and Sale of Scope Products.

  • Except for the Assumed Liabilities or as provided in the Operative Agreements, Buyer is not assuming or undertaking any obligations or liabilities of Seller of any nature related to Seller's or its Affiliates' operations or sales of the In Scope Products prior to the Closing Date.
