This Agreement will not be assignable, in whole or in part, by either party without the written consent of the other party, except that SCIO may, without the consent of Executive, assign or delegate all or any portion of its rights and obligations under this Agreement to any corporation or other business entity (i) with which SCIO may merge or consolidate, (ii) to which SCIO may sell or transfer all or substantially all of its assets or capital stock, or (iii) that is or becomes an affiliated organization.
This Agreement constitutes the entire agreement of the parties with respect to the subject matter hereof and a complete merger of prior negotiations and agreements regarding the same and, except as provided in the Section 6(e), will not be modified by word or deed, except in a writing signed by Executive and SCIO.
