Schedule A Deductions definition
Schedule A Deductions means the commitments and liabilities of the Company set forth on Schedule A hereto (in an amount equal to the outstanding balance of such commitments and liabilities at the date hereof) that will be paid or assumed by the Parent at or following the Effective Time and deducted from the amount available to the holders of Company Common Stock pursuant to Section 2.02 hereof.
