Schawk hereby advise Employee to consult with an attorney of Employee’s choice (at Employee’s expense) before Employee signs this Agreement.
Schawk will rely on Employee’s signature on this Agreement as Employee’s representation that Employee read this Agreement carefully before signing it, and that Employee has a full and complete understanding of its terms.

All warranties and representations made by or on behalf of Schawk herein or in the Schedules hereunder shall be deemed representations and warranties of Schawk, regardless of any investigation made by or on behalf of Company, Holdings or Stockholders' Representative or Stockholders.
No Principal Schawk Stockholder may transfer shares of Common Stock unless such transferee has duly executed a Joinder Agreement in which it agrees to assume all of the transferor's obligations pursuant to this Agreement and be treated as a Principal Schawk Stockholder hereunder (if not already a Principal Schawk Stockholder party to this Agreement).
Stockholders shall have received form counsel to Schawk an opinion of such counsel, dated as of the Closing Date, in a form reasonably acceptable to Stockholders' Representative.
