Examples of SCB Contract in a sentence
SCB has made available to CBC true, correct and complete copies of each SCB Contract in effect as of the date hereof.
With respect to each SCB Contract and except as disclosed in Section 5.16 of the SCB Disclosure Memorandum: (i) such SCB Contract is in full force and effect; (ii) no SCB Company is in material Default thereunder; (iii) no SCB Company has repudiated or waived any material provision of any such SCB Contract; and (iv) no other party to any such Contract is, to the Knowledge of SCB, in Default in any respect or has repudiated or waived any material provision thereunder.
Except as set forth in the SCB SEC Reports or in Section 5.16 of the SCB Disclosure Memorandum, no SCB Company is a party to or bound by any "material contract" as such term is defined in Item 601(b)(10) of Regulation S-K of the SEC (each such contract a "SCB Contract").
