Scaleback definition

Scaleback means a pro-rata reduction in the number of Shares allotted to Eligible Shareholders who make an Application. The Company has full discretion in deciding whether to Scaleback Applications;
Scaleback means the reduction in the amount of Shares under the SPP (compared to the dollar amount applied for) that Smartpay will undertake if it receives aggregate application funds under the SPP in excess of $3,000,000.
