Except as and to the extent disclosed in the August 31, 1999 unaudited financial statements, none of SCAH or its subsidiaries had any liabilities or obligations of any nature, whether or not accrued, contingent or otherwise, that would be required by generally accepted accounting principles to be reflected on a consolidated balance sheet of SCAH and its consolidated subsidiaries (including the notes thereto) or which would have a Material Adverse Effect on SCAH.
