SC SaaS Services definition

SC SaaS Services means the SC Software provided and made available as software-as-a-service that is accessible through the SC Platform.

  • Except for the limited rights and licenses expressly granted under this Agreement, nothing in this Agreement grants, by implication, waiver, estoppel, or otherwise, to Customer or any third party any intellectual property rights or other right, title, or interest in or to the SC Software, SC SaaS Services and Documentation.

  • Upon expiration or earlier termination of this Agreement, the license and rights granted hereunder will also terminate and Customer will cease using and delete, destroy, or return all copies of the SC Software or SC SaaS Services, as applicable, and Documentation, and upon request by SparkCognition certify such in writing.

  • Customer will take reasonable efforts to make all Authorized Users aware of this Agreement's provisions as applicable to such Authorized User's use of the SC Software or SC SaaS Services, and will cause Authorized Users to comply with such provisions.

  • Customer will comply with all applicable laws including, without limitation, export laws, restrictions, and regulations of the United States or foreign agency or authority related to the SC Software, SC SaaS Services and Services.

  • Customer is responsible and liable for all uses of the SC Software, SC SaaS Services and Documentation resulting from access provided by Customer, directly or indirectly, whether such access or use is permitted by or in violation of this Agreement.

  • Customer will not export, or allow the export or re-export of the SC Software, SC SaaS Services and Services in violation of any such laws, restrictions or regulations.

  • Customer is solely responsible for collecting and providing Customer Data to SparkCognition for any SC SaaS Services and Maintenance and Support Services, including all costs and liabilities associated with such Customer Data.

  • SparkCognition may include and use Customer’s name, trademarks, logos and designs on a list of customers and may refer to Customer as a user of the SC Software, SC SaaS Services and/or Maintenance and Support Services in its advertising, marketing, promotional and investor materials.

  • In the event the SC Software or the SC SaaS Services does not conform to this warranty in any material respect, as Customer’s exclusive remedy and SparkCognition’s sole liability and obligation, SparkCognition will use commercially reasonable efforts to correct the SC Software or the SC SaaS Services, as applicable.

  • SparkCognition will provide Maintenance and Support Services (a current copy is available at ▇▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇▇▇▇▇▇▇.▇▇▇/maintenance-support/) for the SC Software and/or SC SaaS Services, as applicable (a) for the duration of the License Term, and (b) to the extent and for the time period that Customer pays the associated Fees without interruption.
