• To the extent that the personal data relates to an individual other than You, You warrant that You have been authorised by that individual to provide to Us the personal data relating to that individual, for use by Us and disclosure to and use by SBCI and the Disclosees, for the purposes outlined above.

• You acknowledge that, to the extent that any of the information constitutes personal data, within the meaning of the Data Protection Laws, such personal data will be used by Us and may be disclosed to and used by SBCI and the Disclosees, for the purposes set out above.

SBCI means SBC International, Inc., a company incorporated under thelaws of the State of Delaware of the United States of America, and a parentcompany of SBCISA and SBCI-MSI on the date hereof;"South Africa" means the Republic of South Africa;"Strategic Services" means certain management and technical services andadvice to be provided to Telkom and its subsidiaries by Personnel inaccordance with the terms and conditions of this Agreement, which relateto the following: business management, oversight of personnel matters,development and implementation of marketing plans and other corporatestrategies, network planning and supervision, network operations, budgetplanning, payroll processing, internal financial support services, technicaladvice and assistance, regulatory compliance, customer billing and otherrelated services;"Telecommunications Act" means the Telecommunications Act, No. 103of 1996 of the laws of South Africa as in effect on the date hereof and asamended from time to tune;"Thintana Agreement" means the Thintana Communications LLC LimitedLiability Company Agreement dated February 26, 1997, between SBCISAand TMA, as amended; - 5 -"Transaction Documents" shall mean this Agreement and the ShareTransfer Agreement, the Shareholders' Agreement, the ThintanaAgreement, the PSTS Licence, the Radio Licence, the Value AddedNetwork Licence, the Memorandum and Articles of Association of Telkomas in effect from tune to time, and each other agreement, document,instrument or certificate contemplated hereby or thereby or deliveredhereunder or thereunder;"Transition Period" means the two (2) year period immediately followingthe Exclusivity Period;"U. S. Personnel" means Personnel who provide Strategic Services andwho immediately prior to providing such services to Telkom weredomiciled in the United States;"U. S. Telecommunications Act" means the United StatesTelecommunications Act of 1996, as amended; and"Value Added Network Licence" means the licence for the provision ofvalue added network services issued to Telkom by the Minister pursuant toSection 40 of the Telecommunications Act.
