After the payment and discharge of all indebtedness owing to SBCC arising out of the SBCC Loans and the termination of the obligation of SBCC to lend under the SBCC Loan Agreement, any of the Liens created and granted to the Bank under the Security Documents shall fail to be valid, first, perfected Liens, subject to no prior or equal Lien, except as permitted by Section 7.2 hereof.
