  • For avoidance of doubt, FS Stockholder and The Limited agree that any and all closing costs, including, without limitation, any transfer taxes, relating to the purchase by Property Holding, The Limited or any of its Affiliates of the Sawmill Property from the current fee owner shall be paid for by Property Holding, The Limited, or such Affiliate and such fee owner, and will not in any event be or become the obligation of Company.
