Savi Platform definition

Savi Platform means the cloud-based internet platform provided by SAVI that is designed to be co-branded with Client and made available to Client’s Users so that such Users can access and receive certain features and functionality concerning student loans, which features and functionality may come in packages with different pricing, so the particular features and functionality available to Users under this Agreement are as specified in the Proposal. The Savi Platform may include assistance (both computerized and in-person) in completing certain forms relating to student loans if a User has an Essential or Pro account, and a refinancing marketplace where any User may evaluate options for refinancing student loans.
Savi Platform. Description The Savi Platform offered by SAVI is a unique tool to help student loan borrowers better understand their debt, optimize their repayment options, and enroll in the best plan for their financial needs. Client may offer the Savi Platform as a powerful student loan employee benefit, including our optimization tools, full enrollment and monitoring features, and ongoing access to student loan experts and support. The Savi Platform can complement other student loan benefits, and can easily integrate into a broader financial wellness program. When using the Savi Platform a User may choose between a DIY account or an Essential account. The “DIY” account will provide access to the Savi Platform’s optimization tools and student loan education content that is made available without charge to all Users. The “Essential” account will provide the features of the DIY account as well as full enrollment features, ongoing loan monitoring and full- time support team. Authorized “Users” under this Agreement are any of Client’s employees and immediate family members of those employees, in each case who have taken all the steps required to open an account on the Savi Platform using the co-branded domain.

  • Short of terminating the Agreement, SAVI reserves the right to suspend User access to the Savi Platform if, (i) Client is delinquent in payment of any fees, or (ii) an immediate restriction or suspension is necessary to protect the Savi Platform, SAVI’s or its supplier’s network or SAVI’s ability to provide the Savi Platform to its other customers (e.g., a denial of service attack).

  • At Client’s option, SAVI shall co-brand a version of the Savi Platform as contemplated in the Proposal in a manner mutually agreeable to the parties.

  • SAVI will provide the Savi Platform using commercially-reasonable physical and environmental security measures to prevent unauthorized access to, and otherwise physically and electronically protect, User Data.

  • In addition, without limiting its rights or remedies, SAVI may suspend access to the Savi Platform until such amounts are paid in full.

  • Client agrees that SAVI may identify Client as a user of the Savi Platform and may use Client’s name and logo in SAVI’s customer list, press releases, blog posts, advertisements, and website.

  • The initial term for provision of the Savi Platform shall be the time period specified in the Proposal (generally, the period starting on the Start Date and ending on the End Date), or if no such term is stated, then for a period of one (1) year, in either case commencing on the Start Date (the “Term”).

  • Unless otherwise agreed, SAVI will store all User Data in, and will provide the Savi Platform from services located in, the United States.

  • Client shall not advertise its or its Users’ access to the Savi Platform, or provide or otherwise facilitate access to the Savi Platform by anyone other than a User who properly registers for access to the Savi Platform, including by reselling or otherwise transferring its seats to non-Users.

  • SAVI acknowledges that Client may elect to invite more Users than the number of seats provided under the Proposal, and in the event the number of registered Users exceeds the number of seats the parties shall promptly meet and resolve the matter, either by Client agreeing to pay for additional seats, or SAVI removing certain registered Users from the Savi Platform.

  • Client shall not during the Term, or for a two-year period thereafter, create or have created software or tools that are intended to replicate or otherwise approximate the benefits provided by the Savi Platform.
