If additional Workforce members (whether existing or new hires) will have access to any Protected Health Information, Business Associate shall ensure Business Associate has obtained a Satisfactory Background Screening for each such additional Workforce member prior to permitting him/her any access to Protected Health Information.
Licensee agrees to update such Satisfactory Background Screening upon reasonable request by Surescripts, it being agreed that any request based upon the occurrence of any security incident or other illegal activity involving Licensee or Licensee personnel, or the reasonable suspicion of illegal activity involving any data provided hereunder, or any regulatory requirements requiring such updates, would be deemed reasonable hereunder.
Licensee warrants and represents that Licensee has obtained, at Licensee’s own expense and in a manner compliant with all Applicable Law, a Satisfactory Background Screening, as defined below, for all of its employees and contractors whose job descriptions or functional duties require or contemplate access (other than incidental or infrequent access) to any Private Information (“Licensee Personnel”).
Promptly upon written request, Licensee shall verify in writing its compliance with the foregoing requirements by providing Surescripts or CureMD with a written affidavit signed by an executive officer of Licensee, certifying that CureMD has obtained Satisfactory Background Screening checks with respect to all Licensee personnel with access to Private Information in accordance with the terms hereunder.
