SAP PartnerEdge Model definition

SAP PartnerEdge Model means each of the different “SAP PartnerEdge Build Specific Terms and Conditions” that are incorporated in a SAP PartnerEdge Schedule.
SAP PartnerEdge Model means each of the different “SAP PartnerEdge Build Specific Terms and Conditions” that SAP and Partner agree on by signing a related SAP PartnerEdge Schedule.

  • The fee for Maintenance Services depends on the applicable SAP PartnerEdge Model and is, if applicable, set forth therein.

  • The prices or fees for the Software, Cloud Services, Subscription Services and other Services depend on the applicable SAP PartnerEdge Model and are set forth therein.

  • Additional audit requirements are, if applicable, set out in the applicable SAP PartnerEdge Model.

  • As long as Partner is not in breach of his contractual obligations under any part of this Agreement affecting the applicable SAP PartnerEdge Model especially as long as Partner’s payment of any or all of the Secured Claims is not delayed, Partner is entitled to pass on or ask SAP to pass on the Reserved Assets in the proper and ordinary course of business.

  • The following decending order of precedence will apply, in the event of any conflict or inconsistency between parts of the Agreement: (a) Order Form, if applicable; (b) the applicable SAP PartnerEdge Schedule; (c) the applicable SAP PartnerEdge Model; (d) the Master Partner Agreement; (e) the PartnerEdge GTCs; (f) the PartnerEdge Program Guide; (g) the PartnerEdge Branding Guide; and (h) the RSPI.

  • Model-specific effects of termination are set out in each SAP PartnerEdge Model.

  • SAP’s obligations concerning the delivery of the SAP Products are outlined in the applicable SAP PartnerEdge Model.

  • If Partner is in breach of his contractual obligations under any part of this Agreement affecting the applicable SAP PartnerEdge Model, in particular if Partner’s payment of any or all of the Secured Claims is delayed, SAP is entitled at Partner’s expense to rescind from any order for SAP Products concerning the affected SAP PartnerEdge Model and to demand return of any or all of the Reserved Assets granted or delivered under or in connection with the affected SAP PartnerEdge Model.

  • The SAP Products and SAP’s Confidential Information and all title, rights and interest, especially, without limitation, any Intellectual Property Rights embodied in the SAP Products and SAP’s Confidential Information are the sole and exclusive property of the SAP Group or their licensors, subject to any rights, title or interest expressly granted to Partner in the applicable SAP PartnerEdge Model.

  • Such entitlement to collect the Assigned Claims and to exercise ancillary rights and claims in connection with these is immediately terminated if SAP gives notice to the contrary which SAP is entitled to do if Partner is in breach of his contractual obligations under any part of this Agreement affecting the applicable SAP PartnerEdge Model, in particular if Partner’s payment of any or all of the Secured Claims is delayed.

  • GP means Gottbetter & Partners, LLP.

  • Strategic Partner means (i) a pharmaceutical or biotechnology company with book equity of at least U.S. $200,000,000, (ii) a pharmaceutical or biotechnology company with sales of at least U.S. $150,000,000, or (iii) a publicly traded, or division or subdivision of a publicly traded, pharmaceutical or biotechnology company with market capitalization in excess of U.S. $200,000,000.

  • EPFO means Employees' Provident Fund Organization

  • MLP Partnership Agreement means the Amended and Restated Agreement of Limited Partnership of the MLP, as amended or restated from time to time.

  • Asset Management Plan means a plan created by the department and approved by the state transportation commission or a plan created by a local road agency and approved by the local road agency's governing body that includes provisions for asset inventory, performance goals, risk of failure analysis, anticipated revenues and expenses, performance outcomes, and coordination with other infrastructure owners.

  • Hosting Partners means companies who entered into an agreement with CIPC in the areas of application management; application hosting, application service provision, and marketplace hosting are incorporated in this category.

  • Eligible production company means that term as defined under section 455 of the Michigan business tax act, 2007 PA 36, MCL 208.1455.

  • STSMA means the Sectional Titles Schemes Management Act 8 of 2011, as amended and include the Regulations issued under the said act;

  • BCP means BCP Asset Management Limited and its successors, assigns and transferees.

  • In loco parentis means relating to the responsibility to undertake the care and control of another person in the absence of:
