Sanctions Representation definition
Sanctions Representation means the representation and warranty to the Administrative Agent by the Parent that no part of the proceeds of any Credit Extension will be used, directly or indirectly, for any purpose which would violate applicable Sanctions.
Sanctions Representation means the representation and warranty to the Administrative Agent by the Parent that (a) to the extent applicable, each of the Parent and its Subsidiaries is in compliance in all material respects with all applicable Sanctions, (b) none of the Parent and its Subsidiaries is currently the target of any Sanctions or located, organized or resident in a country or territory that is the target of Sanctions broadly prohibiting dealings with such country or territory and (c) no part of the proceeds of any Credit Extension will be used, directly or (to the knowledge of the Parent or any of its Subsidiaries) indirectly, for any purpose that would violate applicable Sanctions.
