A business or enterprise shall be deemed competitive if it shall operate a chain of membership warehouse clubs (by way of example, but not limitation, Sam’s Club or Costco), warehouse stores selling food and/or general merchandise that includes a warehouse store located within 10 miles of any “then existing” BJ’s Wholesale Club warehouse store, or any other business that competes with the Company.
Notwithstanding the foregoing, the payments and benefits described in Section 3.5(b) above shall immediately terminate, and the Company shall have no further obligations to the Executive with respect thereto, in the event that the Executive (i) becomes employed by Wal-Mart Stores, Inc., Costco Wholesale Corporation, Sam’s Club, or any of their respective subsidiaries or affiliates; or (ii) breaches any provision of Sections 4 or 5 of this Agreement.
Any discounts over an item’s retail value in excess of the allowance will not be available if the Member purchases his/her item from a Costco, Walmart or Sam’s Club location.
The store management at each individual Walmart and Sam’s Club location must approve each Local Council’s proposed Campaign Period and the daily hours during which the Local Council will be permitted to set up and maintain sales booths, provided that such daily hours should never extend beyond the store’s or club’s hours of business.
Permitted cookie sales may occur at each facility for a total of fourteen (14) days, and only three (3) of those days may be consecutive, as per Walmart and Sam’s Club policy.
In addition, to the extent permitted by the applicable plan or program, the following employee benefits shall continue in effect at the same level as in effect immediately prior to the Change in Control for a period of twelve (12) months following the Termination of Employment (the ‘Severance Period’): (1) continuation of memberships in the YMCA and Sam’s Club; and (2) continuation of prepaid legal benefits.
Senior executives for Walmart will be senior leaders in the Walmart or Sam’s Club Health & Wellness Divisions; senior executives for Manager will be officer level and include the chief executive officer of Manager.
Any discounts will not be available if the Member purchases his/her Contact Lenses from a Costco, Walmart or Sam’s Club location.

During the Campaign Period, each Local Council may, subject to local store management approval, conduct cookie sales in accordance with the Agreement at each Walmart or Sam’s Club in that Local Council’s area.
