Services such as Publishing Administration, Soundcloud Monetization, Sample Pack Distribution, Video Distribution, Stem Distribution, YouTube Monetization, Sync Licensing and/or future added services and offerings would be available to Client with separate terms and conditions.
Beatclub hereby grants you a non-exclusive license to utilize particular sound recordings and the underlying compositions embodied therein included in the purchased Sample Pack, as hereinafter defined (“Samples”) in accordance with the terms and conditions herein.
The Sample Pack shall mean those samples of master recordings featuring the performances of the featured artist (the “Samples”) as compiled and bundled together into one (1) product package as delivered by secure digital download.
In no event shall Licensor be held liable for any lost profits, incidental, consequential or indirect damages arising out of or associated with Licensee’s use of the Samples or the Sample Pack.
In no event shall Beatclub’s total aggregate liability to you, or to any third party claiming through you, arising out of or in connection with your use of or inability to use the Sample Pack (whether in contract, tort, or otherwise) exceed the monetary amount actually paid by you to Beatclub for use of the applicable Sample Pack.
Licensee agrees to indemnify, defend, and hold harmless Licensor and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in connection with Licensee's use of the Sample Pack or any breach of this Agreement by Licensee.
The contents of the Sample Pack may not be used, in whole or in part, in the creation of any competitive product, in any format, or in any product that would involve the re-licensing of the Samples.
Services such as Publishing Administration, Piracy Protection (Topple Track), Soundcloud Monetization, Sample Pack Distribution, Video Distribution, STEM Distribution, YouTube Monetization, Neighboring Rights, Sync Licensing, and other revenue- generating services will be available to select Client(s) as an optional service.
Services such as Publishing Administration, Piracy Protection (Topple Track), Soundcloud Monetization, Sample Pack Distribution, Video Distribution, STEMS Distribution, YouTube Monetization, Neighboring Rights, Sync Licensing, Physical Distribution, Ringtone Distribution, Creative, Mastering, Web/Graphic, Marketing and other revenue-generating services may be available and are subject to separate fee(s) and agreement structure(s).
Product and Sample Packs delivered pursuant to this Agreement will continue, until the applicable expiration date, to conform to the Product Specifications; provided that such warranty shall not extend to any Product and/or Sample Pack which fails or ceases, prior to the applicable expiration 15 date, to conform to the Product Specifications as a result of improper storage or mishandling by Menarini or a third party after delivery of the Product to the Menarini ex Facilities.
