Sample Costs definition

Sample Costs means, for Samples manufactured by Amarin or a Third Party, Amarin’s actual costs of manufacturing, packaging, and testing the Samples and amounts paid to a Third Party, including: (a) the costs and expenses associated with components, such as raw materials, drugs and chemicals, encapsulation, packaging materials and components, (b) any applicable net sales taxes, customs duties and similar import fees or costs and freight actually paid by Amarin, and (c) direct production labor, all of the foregoing calculated in accordance with GAAP. Schedule 1.86 sets forth an example of the calculation of Sample Costs.

Examples of Sample Costs in a sentence

  • In the event such Annual Cap is reached for any contract year, GSK shall pay for any excess amount that would otherwise be allocated to FivePrime but for such Annual Cap (the “Excess Amount”), and such Excess Amount shall be added to any Extraordinary Sample Costs allocated to FivePrime in subsequent contract year(s) to the extent the total Extraordinary Sample Costs allocated to FivePrime in each such subsequent contract years do not exceed the Annual Cap.
