Sales as Agent definition
Sales as Agent. All offers solicited by the Agents and accepted by the Company will be settled on the third Business Day (as defined below) after the date of acceptance unless otherwise agreed by the purchaser and the Company and the Settlement Date shall be specified upon acceptance of such offer. The term "Business Day" means a Monday, Tuesday, Wednesday, Thursday or Friday which is not a legal holiday for banking institutions in any of the City of New York, New York, the City of Chicago, Illinois or the City of Wilmington, Delaware or the city in which the principal corporate trust office of the Trustee is located or (i) if the Note is denominated in a currency other than U.S. dollars, in the principal financial center of the country of the Specified Currency, or (ii) if the Note is denominated in European Currency Units, in Brussels. Communication of Sale Information to the Company by Selling Agent: For each offer accepted by the Company, the Selling Agent or Purchasing Agent, as the case may be, will provide (unless provided by the purchaser directly to the Company) to a Designated Person by facsimile transmission or other acceptable means the following information (the "Sale Information"):
