Saatchi means Saatchi & Saatchi North America, Inc., a Delaware corporation, the tenant under the Saatchi Lease.

  • With regard to any overbillings or underbillings, Seller shall have the right to review and reasonably approve Buyer’s calculations prior to any reimbursements or ▇▇▇▇▇▇▇▇ being sent to Saatchi, such approval not to be unreasonably withheld or delayed.

  • The Saatchi Lease Assignment shall be in the form of Exhibit “E” attached hereto.

  • Buyer shall deliver to Escrow Holder the Tenant Notification Letter , duly executed by Buyer and to be delivered by Buyer to Saatchi promptly following the Closing.

  • The Tenant Estoppel Certificate shall be substantially in the form of Exhibit “B” attached hereto or in such form or with the content set forth in the Saatchi Lease.

  • To the extent Saatchi is current in its rental obligations for the period after the Adjustment Point, any Minimum Rent received by Seller after the Adjustment Point with respect to Minimum Rent due prior to the Adjustment Point shall be retained by Seller, and if received by Buyer shall be promptly transferred to Seller.

  • Assignee hereby assumes and agrees to perform and observe all of the terms, covenants, agreements, obligations and conditions to be performed or observed by the sublessor under the Saatchi Lease which are applicable to and accrue for the period on and after the date of this Assignment (the “Assumed Obligations”).
