Except for the S1 Services, the Assets of the FRS Businesses, together with the FRS India Assets and the services to be provided to the FRS Businesses pursuant to the Transition Services Agreement and the India Services Agreement are sufficient for the continued conduct of the Business after the Signing Date in the same manner as conducted prior to the Signing Date.
