s Transfer. Expenses shall mean Tenant's reasonable and necessary payments to third parties in connection with such a transfer on account of brokerage, legal and fit-up costs. Without limiting the generality of the foregoing, any lump-sum payment or series of payments (including for the purchase or use of so-called leasehold improvements but excluding any Permitted Transfers as referred to in Section 6.1 above) on account of any transfer shall be deemed to be in excess of rent and other charges in its or their entirety.
