  • The invalidity or unenforceability of this agreement for whatever reason shall not affect or otherwise adversely impact the validity and enforceability of the Transfer Agreement once it is duly notarized by the Russian Notary and vice versa the invalidity or unenforceability of the Transfer Agreement shall not affect or otherwise adversely impact the validity and enforceability of this agreement.

  • Following this the Seller shall execute the application for the state registration of the Purchaser as the new owner of the Participation Interest in the State Register, which application shall be notarized by the Russian Notary.
