RTL Offer definition

RTL Offer means the offer by RTL to exchange, subject to certain conditions, Existing 2013 Notes for Cash and securities issued by RTL on the terms described in the term sheet between RTL and certain holders of Existing 2013 Notes, dated March 14, 2013, and included with RTL’s beneficial ownership report filed with the United States Securities and Exchange Commission on Form 13D/A filed March 14, 2013.
RTL Offer has the meaning set forth in the recitals above.

Examples of RTL Offer in a sentence

  • All conditions to the consummation of the RTL Offer (other than the occurrence of the Effective Date) shall have been satisfied or waived, and the RTL Offer shall close simultaneously with the occurrence of the Effective Date.

  • The conditions to the closing of the RTL Offer shall have been satisfied or waived in accordance with the RTL Offering Memorandum (other than any such condition which is not satisfied as a result of a breach by the Investor of the RTL Offering Memorandum.

  • The RTL Offer shall have been conducted and completed in accordance with the RTL Offering Memorandum, except for such termination of the RTL Offer as may be consistent therewith.

  • Final Offer means the offer on which a resource was dispatched by the Office of the Interconnection for a particular clock hour for the Operating Day. Final RTO Unforced Capacity Obligation:

  • Initial Offer means the initial offer of Participating Shares in a Fund as set out in the applicable Supplement;

  • Offer to Purchase means an offer to purchase Notes by the Company from the Holders commenced by mailing a notice to the Trustee and each Holder stating:

  • Initial Offer Price means the initial price payable for a Share as specified in the relevant Supplement for each Fund.

  • Initial Offer Period means the period determined by the Directors during which Shares of any class are offered by the ICAV for purchase or subscription at the Initial Price.

  • Permitted Offer An Offer (i) pursuant to the terms of which the offeror offers to acquire a debt obligation (including a Collateral Obligation) in exchange for consideration consisting solely of Cash in an amount equal to or greater than the full face amount of such debt obligation plus any accrued and unpaid interest and (ii) as to which the Collateral Manager has determined in its reasonable commercial judgment that the offeror has sufficient access to financing to consummate the Offer.

  • Asset Sale Offer shall have the meaning specified in Section 4.14.

  • Net Proceeds Offer has the meaning provided in Section 4.16.

  • Bona Fide Offer means an actual or genuine offer which includes a specific wage or a training opportunity at a specified place when used to determine whether the parent has refused an offer of training or employment.

  • Repurchase Offer shall have the meaning specified in Section 11.1(b).

  • Purchase Offer shall have the meaning assigned to such term in Section 2.25(a).

  • Sell or Offer to Sell means to: • sell, offer to sell, contract to sell or lend, • effect any short sale or establish or increase a Put Equivalent Position or liquidate or decrease any Call Equivalent Position • pledge, hypothecate or grant any security interest in, or • in any other way transfer or dispose of, in each case whether effected directly or indirectly.

  • Offer means “proposals” in negotiation.

  • Best and Final Offer means a revision to an Offer submitted after negotiations are completed that contains the Offeror’s most favorable terms for price, service, and products to be delivered. Sometimes referred to as a Final Proposal Revision.

  • Net Proceeds Offer Amount has the meaning set forth in Section 4.16.

  • Asset Sale Offer Amount shall have the meaning specified in Section 4.14.

  • Qualified Offer shall have the meaning set forth in Section 11(a)(ii) hereof.

  • Discount Range Prepayment Offer means the written offer by a Lender, substantially in the form of Exhibit K, submitted in response to an invitation to submit offers following the Auction Agent’s receipt of a Discount Range Prepayment Notice.

  • Solicited Discounted Prepayment Offer means the irrevocable written offer by each Term Lender, substantially in the form of Exhibit O, submitted following the Administrative Agent’s receipt of a Solicited Discounted Prepayment Notice.

  • Firm Offer means an offer which, when made, was capable of becoming legally binding upon acceptance.

  • Offer Notice shall have the meaning set forth in Section 4.1.

  • Tender Offer means a takeover offer, tender offer, exchange offer, solicitation, proposal or other event by any entity or person that results in such entity or person purchasing, or otherwise obtaining or having the right to obtain, by conversion or other means, greater than 10 per cent. and less than 100 per cent. of the outstanding voting shares of the Share Company, as determined by the Determination Agent, based upon the making of filings with governmental or self-regulatory agencies or such other information as the Determination Agent deems relevant.

  • Last best offer package means the offer exchanged by parties not less than 14 days prior

  • Third Party Offer has the meaning set out in Section 6.4;
